SECTION 1 - OVERVIEW & BRAND OPERATING ENTITY
This website (www.kpwatches.com) is owned and operated by Keypower Watch Factory, a dedicated commercial brand asset and manufacturing arm of Keypower Watch Co., Limited. Throughout the site, the terms “we”, “us”, and “our” refer to Keypower Watch Factory. We offer this website, including all information, digital portals, software tools, and commercial manufacturing services available from this site to you, the business user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
By visiting our site, evaluating our industrial capabilities, or purchasing physical watch samples from this platform, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms, conditions, and policies referenced herein or available by hyperlink. These Terms of Service apply to all users of the site, including without limitation users who are browsers, procurement agents, vendors, corporate customers, merchants, or contributors of content.
SECTION 2 - B2B STATUS & SAMPLE PURCHASING COVENANT
This platform functions strictly as a Business-to-Business (B2B) original equipment manufacturing (OEM) interface. This is not a consumer-facing retail storefront.
To facilitate professional design verification, manufacturing quality audits, and structural evaluations, we make specific pre-existing molded models available for purchase as physical watch samples. By placing an order for a sample timepiece on this website, you explicitly agree, represent, and warrant that:
1. You are purchasing the hardware solely for commercial engineering evaluation, aesthetic vetting, or corporate prototyping analysis.
2. You will not resell these sample models into commercial consumer retail channels under our brand name.
3. Order quantities are strictly restricted to a maximum of one to two (1–2) pieces per specific molded model variant per business client.
4. Any subsequent commercial production runs, customized private-label manufacturing, custom mold fabrications, and volume shipments will be managed entirely offline via independent, signed international sales contracts between your corporate entity and Keypower Watch Co., Limited.
SECTION 3 - ACCURACY OF INDUSTRIAL SPECIFICATIONS & BILLING
We make every reasonable effort to display the dimensions, casing materials, movement specs, and cosmetic details of our pre-molded watches as accurately as possible. However, technical specifications are subject to slight industrial tolerances. We reserve the right to limit or cancel sample sales to any business entity if we suspect the platform is being abused for standard consumer shopping. In the event of an order alteration or cancellation, we will notify you via the corporate email address or phone number provided.
SECTION 4 - SEVERABILITY AND TERMINATION
In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service. Such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 5 - GOVERNING LAW AND LEGAL JURISDICTION
These Terms of Service and any separate commercial service or sample agreements whereby we provide you hardware or industrial consultation shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR). Any disputes arising directly from your use of this platform shall be settled exclusively within the courts of the HKSAR.
